This is an agreement between the company and an independent contractor for supply of services.  This would apply to a distributor, agent or subcontractor.  It may be someone you have contracted to supply services such as direct marketing.  This person is not directly employed by the company.

The agreement covers the task, duration, performance expectations, fee, confidentiality, company property, contractor liabilities, health and safety, termination, insurance, notice periods, conflict of interest and warranty.  In addition, the attached schedule describes, in more detail, the task and fees earned.
